1. Acceptance of Terms

By accessing or using The Ledger Terminal (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

The Ledger Terminal provides stock research tools including valuation charts, financial data tables, stock screeners, and watchlist functionality. The Service aggregates publicly available financial data and presents it in a user-friendly format.

3. User Accounts

Some features require account registration. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription and Payments

The Service offers both free and paid subscription tiers (“Pro”).

  • Free Trial: Pro subscriptions include a 7-day free trial. You may cancel anytime during the trial without charge.
  • Billing: Subscriptions are billed in advance on a monthly or annual basis depending on your selection.
  • Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period.
  • Refunds: Refunds are provided at our discretion. Contact support for refund requests.
  • Price Changes: We reserve the right to modify pricing with 30 days notice to active subscribers.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Scrape, data mine, or systematically extract data from the Service
  • Resell or redistribute the data without authorization
  • Attempt to bypass usage limits or access controls
  • Interfere with or disrupt the Service infrastructure
  • Impersonate others or misrepresent your affiliation

6. Intellectual Property

The Service, including its design, features, and content (excluding third-party financial data), is owned by The Ledger Terminal and protected by intellectual property laws. You may not copy, modify, or create derivative works without permission.

7. Third-Party Data

Financial data is sourced from third-party providers. While we strive for accuracy, we do not guarantee the completeness, timeliness, or accuracy of this data. Use at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LEDGER TERMINAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Indemnification

You agree to indemnify and hold harmless The Ledger Terminal and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Modifications to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. Material changes will be communicated via email or Service notification.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion.

13. Governing Law

These Terms are governed by the laws of Portugal and the European Union. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal. If you are an EU consumer, you retain any mandatory consumer protection rights granted by the laws of your country of residence.

14. EU Consumer Rights

If you are an EU consumer:

  • Right of Withdrawal: You have 14 days to withdraw from a subscription without giving any reason. However, by starting to use the Service during this period, you acknowledge that you lose your right of withdrawal once the service has been fully performed.
  • Consumer Guarantees: The Service will be provided with reasonable care and skill in accordance with EU consumer law.
  • Dispute Resolution: You may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr
